1. Agreement to these terms
These Terms of Service ("Terms") are a contract between you and adZoic ("adZoic", "we", "us"). By accessing our website or using the adZoic platform, you agree to these Terms. If you don't agree, please don't use the service.
2. The service
adZoic provides an AI-powered demand-side platform for buying digital advertising programmatically, along with this website. We may add, change or remove features over time.
3. Eligibility and accounts
You must be a business (or acting on behalf of one) and able to enter a binding contract. If you create an account, you're responsible for keeping your credentials secure and for activity under your account.
4. Acceptable use
You agree not to:
- Break the law, or use the service to advertise illegal or prohibited products or content.
- Interfere with, disrupt, or attempt to gain unauthorised access to our systems or other users' data.
- Reverse-engineer, resell or misuse the platform except as your agreement allows.
- Run fraudulent, deceptive or harmful advertising, or violate the policies of the exchanges and publishers we connect to.
5. Your content and advertising
You're responsible for the campaigns, creative, data and audiences you bring to the platform, and you confirm you have the rights and consents needed to use them. Your advertising must comply with applicable laws and the rules of the channels it runs on.
6. Fees and payment
Paid use of the platform is set out in the order form, insertion order or agreement you sign with us. Unless that agreement says otherwise, fees are payable as invoiced and exclude applicable taxes.
7. Intellectual property
adZoic and its licensors own the platform, the website and all related intellectual property. You keep ownership of your own data and creative. We grant you a limited, non-exclusive right to use the service per these Terms and your agreement.
8. Third-party services
The platform connects to ad exchanges, supply-side platforms, publishers and other third parties. We're not responsible for those third parties, and your use of them may be subject to their own terms.
9. Disclaimers
The service is provided "as is" and "as available". To the extent allowed by law, we disclaim warranties of any kind, including fitness for a particular purpose and that the service will be uninterrupted or error-free. We don't guarantee specific advertising results.
10. Limitation of liability
To the maximum extent permitted by law, adZoic is not liable for indirect, incidental or consequential damages, or for lost profits or data. Our total liability for any claim is limited to the amount you paid us for the service in the three months before the claim arose.
11. Indemnification
You agree to indemnify adZoic against claims arising from your use of the service, your advertising, or your breach of these Terms or applicable law.
12. Term and termination
You may stop using the service at any time. We may suspend or end access if you breach these Terms or your agreement, or where required for legal or security reasons. Sections meant to survive termination (such as IP, disclaimers and liability) will continue to apply.
13. Governing law
These Terms are governed by the laws of Bangladesh, and the courts of Dhaka have jurisdiction over any disputes, unless your signed agreement states otherwise.
14. Changes
We may update these Terms from time to time. We'll change the "last updated" date above, and continued use of the service means you accept the updated Terms.
